These Terms of Service (“Terms”) govern your use of the website at bigwalnutworks.com (the “Site”), which is published by Big Walnut Works LLC, an Ohio limited liability company (“Big Walnut Works”, “we”, “us”, “our”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Engagement and contracts
The Site describes services and indicative pricing. It is not an offer to enter into a contract. Any engagement to provide services is established by a separately signed Master Services Agreement (“MSA”) and Statement of Work (“SOW”) or order form. Terms in the MSA and SOW control if they conflict with anything on the Site.
2. Pricing
Prices listed on the Site are starting prices and indicative ranges. Final pricing depends on scope, content delivery, integrations, and timing. Prices may change at any time without prior notice. Quoted prices in a signed SOW are fixed for the work scoped in that SOW.
3. Care Plans
Care Plans carry a 12-month minimum term. After the initial term, Care Plans continue month-to-month and are cancellable with 30 days written notice. Hours included in a Care Plan do not roll over. Overage rates and substantial-change rules are described in the Care Plan exhibit attached to the MSA.
4. Acceptable use
- Don’t use the Site to violate any law or third-party right.
- Don’t attempt to disrupt, probe, or reverse-engineer the Site or its hosting infrastructure.
- Don’t use the Site or our contact channels to send unlawful, harassing, deceptive, or harmful content.
- Don’t scrape, frame, or republish Site content without written permission.
5. Intellectual property
All Site content (text, graphics, layout, logos, and source) is owned by Big Walnut Works or its licensors and is protected by U.S. and international copyright and trademark laws. We grant you a limited, non-exclusive, non-transferable license to view the Site for personal or business purposes consistent with these Terms. No other rights are granted.
6. No professional advice
Content on the Site is for general information only and is not legal, tax, insurance, or other professional advice. Big Walnut Works is not a law firm, accounting firm, insurance producer, public insurance adjuster, or other regulated professional. If you need professional advice, consult a qualified Ohio-licensed professional.
7. Third-party links
The Site may contain links to third-party sites. We don’t control or endorse those sites, and we’re not responsible for their content or practices. Following a third-party link is at your own risk.
8. Disclaimer of warranties
The Site is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
9. Limitation of liability
To the maximum extent permitted by law, Big Walnut Works will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to your use of the Site, even if we have been advised of the possibility of those damages. Our aggregate liability for any claim arising from the Site is limited to one hundred U.S. dollars ($100). Liability arising from a signed MSA is governed by the limits in that MSA.
10. Indemnification
You agree to defend, indemnify, and hold harmless Big Walnut Works and its members, employees, and contractors from claims arising out of your use of the Site, your breach of these Terms, or your violation of any law or third-party right in connection with the Site.
11. Governing law and venue
These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware County, Ohio. You consent to personal jurisdiction in those courts.
12. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top reflects the current version. Your continued use of the Site after a change constitutes acceptance of the updated Terms.
13. Severability
If any part of these Terms is held unenforceable, the remaining parts will continue in full effect.
14. Entire agreement
These Terms (together with our Privacy Policy and Disclaimer) form the entire agreement between you and Big Walnut Works concerning the Site, and supersede any prior agreements concerning the Site.
